1. Indemnification and Hold Harmless

Vendor hereby agrees to defend, indemnify, and hold harmless the volunteers and organizers of the events and festivals hosted by Fei Tian College Northern Campus, Northern Center for Learning & Innovation,  Asian American Community Alliance of Orange County, and City of Middletown (hereafter referred to as the “Festival Organizing Committee”), as well as their officers, employees, servants, and agents.

This protection applies to all claims, suits, or actions of every kind or character brought against the Festival Organizing Committee and its associated parties for any injuries or damages. This includes any liability arising, in whole or in part, out of or as a consequence of any willful, negligent, or tortious act or omission by the Vendor, its employees, agents, or subcontractors. This indemnity shall explicitly include attorney’s fees, legal costs, and all other expenses incurred in the defense of any such suit.

2. Insurance Requirements (All Vendors)

• Proof of a $1,000,000 commercial general liability insurance policy is required for all participating vendors. A valid Certificate of Insurance (COI) must accompany the application.
• “Fei Tian College Northern Campus; Northern Center for Learning & Innovation; Asian American Community Alliance; City of Middletown and All Associated Volunteers” must be explicitly named as an Additional Insured on your policy. (OR utilize our approved single-event vendor insurance portal by September 15, 2029.) All participants must sign the attached Hold Harmless agreement.

3. Booth Category Rules

• Arts & Crafts Booths: All vendors are subject to approval by the Festival Organizing Committee. Priority will be given to arts & crafts that are locally owned, creative, unique, and rooted in traditional culture. No food or beverages may be sold or distributed from craft booths, with the sole exception of pre-packaged foods certified by the New York State Department of Health.

• Food Vendor Booths: All food vendors are subject to approval by the Festival Organizing Committee, with priority given to traditional cuisines and locally owned businesses. A permit from the Orange County Department of Health is strictly required; this permit application must be completed and submitted at least 30 days prior to the event. Food vendors must prominently display all menu items, prices, and potential allergens.

4. General Vendor Terms & Payment

• Payment: Full payment made out to the “Northern Center for Learning & Innovation” must accompany the application.
• Refund Policy: Applicants will receive a notification of acceptance or rejection one month prior to the festival. If an application is rejected by the committee, a full refund will be issued. However, payments are strictly non-refundable for any cancellations made by the vendor.
• Electricity & Locations: Booth locations are not guaranteed, though the committee will make every effort to accommodate specific requests. Access to electricity is limited; a 20-amp outlet may be purchased for an additional $50. Vendors utilizing electricity must bring their own extension cords.
• Tax ID: Vendors selling taxable items must provide a valid Tax ID number upon registration.
• Family-Friendly Policy: This is a family-oriented festival. All vendor materials, messages, and content are subject to approval by the Festival Organizing Committee.

5.Vendor Agreement Confirmation

By submitting your vendor registration form, you certify and agree to the following statements:

1. I have read, understood, and agree to abide by the vendor application and Festival Day Rules.
2. I understand that I must provide proof of the required insurance policy.
3. I accept full responsibility for obtaining and submitting all applicable local and state licenses.
4. I certify that I am legally authorized to submit this application on behalf of the business named herein.
